Terms of Service
These Terms of Service (“Terms”) govern your access to and use of AgriStock websites, applications, and related services (together, the “Services”), including agristock.org and app.agristock.org. By creating an account or using the Services, you agree to these Terms.
1. Who we are
AgriStock operates a technology platform that enables users to browse and invest in warehouse-backed agricultural lots (“Farm lots”), maintain a Naira wallet, and view a curated set of agricultural company market information (“Listed agri”). Contact: use the details on our Contact page.
2. Eligibility
You must be at least 18 years old and capable of entering a binding contract under Nigerian law. You represent that information you provide (including KYC details) is accurate and kept up to date.
3. Nature of the Services (important)
- Farm lots are interests in specifically described agricultural inventory held with partner warehouses or as otherwise disclosed on the lot page. They are not shares on the Nigerian Exchange (NGX) unless expressly stated.
- Listed agri market views are informational / desk tools for curated agri names. Soft-launch execution features, if any, are described in-product and may be limited. AgriStock is not holding itself out as a full-service stockbroker for “every stock in Nigeria”.
- AgriStock is not a bank, insurer, or deposit-taking institution. Wallet balances are platform balances used to fund investments and withdrawals subject to these Terms and applicable payment-provider rules (e.g. Paystack).
- Nothing on the Services is investment, legal, or tax advice. Agricultural and market investments involve risk of loss, including total loss.
4. Accounts, security, and verification
You are responsible for safeguarding login credentials and devices. You must complete identity verification (KYC) when required. We may suspend or restrict accounts that appear fraudulent, abusive, or non-compliant. OTP delivery may use email, SMS, or other channels you enable.
5. Wallet, payments, and withdrawals
Deposits and certain purchases may be processed by third-party payment providers. Card and bank details are handled by those providers under their terms. Withdrawals are paid to Nigerian bank accounts you nominate, subject to verification, fraud checks, processing times, and fees disclosed in the app. We may reverse or hold transactions suspected of error or unlawful activity.
6. Farm lot investments
When you invest in a Farm lot, you purchase units as described on that lot (price, quantity, warehouse, crop). Available quantity may change as other users invest. Past performance or illustrative returns are not guarantees. Storage, quality, logistics, price movement, and counterparty/warehouse risk can affect outcomes. Selling or exiting early, if offered, follows in-app rules at the time of the request.
7. Acceptable use
You agree not to:
- Use the Services for money laundering, fraud, or other unlawful purposes;
- Attempt to bypass security, scrape, or disrupt the platform;
- Misrepresent identity, inventory ownership, or seller credentials;
- Upload malware or harass staff or other users.
8. Intellectual property
AgriStock branding, software, and site content are owned by AgriStock or its licensors. You receive a limited, non-exclusive licence to use the Services for personal or internal business purposes in line with these Terms.
9. Third-party services
The Services rely on third parties (hosting, email/SMS, payments, maps, market data). Their availability and terms may affect your experience. We are not responsible for outages or acts outside our reasonable control.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, AGRISTOCK DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT MARKET DATA IS COMPLETE OR REAL-TIME.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY NIGERIAN LAW, AGRISTOCK AND ITS OFFICERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF THE SERVICES SHALL NOT EXCEED THE FEES YOU PAID TO AGRISTOCK (IF ANY) IN THE THREE (3) MONTHS BEFORE THE CLAIM, OR THE AMOUNT OF THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER, EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW (INCLUDING FRAUD OR DEATH/PERSONAL INJURY CAUSED BY NEGLIGENCE WHERE SUCH RULES APPLY).
12. Indemnity
You will indemnify AgriStock against claims and costs arising from your misuse of the Services, your breach of these Terms, or your violation of law, except to the extent caused by our wilful misconduct.
13. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access for breach, legal risk, or platform integrity. Provisions that by nature should survive (including liability limits, indemnity, and dispute terms) will survive termination.
14. Changes
We may update these Terms. Material changes will be posted on this page with a new effective date. Continued use after the effective date constitutes acceptance, except where Nigerian law requires additional consent.
15. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Courts in Nigeria shall have jurisdiction, without prejudice to mandatory consumer protections that may apply to you.
